These Terms of Service ("Terms") govern your use of services provided by PixelWeave Limited ("PixelWeave", "we", "us", or "our"), a limited company registered in England and Wales.

1. Agreement to Terms

By accessing our website, engaging our services, or entering into a contract with PixelWeave, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

2. Services Provided

PixelWeave provides web development, design, and digital services including but not limited to:

  • Custom website design and development
  • Web application development
  • E-commerce solutions
  • Website maintenance and support
  • Digital strategy and consulting

Specific services will be detailed in individual project proposals or contracts ("Service Agreement"). These Terms apply to all services unless otherwise specified in writing.

3. Project Scope and Changes

3.1 Scope Definition

Each project scope will be defined in a Service Agreement. Any work outside the agreed scope will be considered additional work and may incur extra charges.

3.2 Scope Changes

If a project exceeds the agreed scope due to client requests or requirements changes, PixelWeave reserves the right to:

  • Provide a revised quote for additional work
  • Adjust project timelines accordingly
  • Request additional payment before proceeding with out-of-scope work

3.3 Internal Scope Management

Where scope increases are due to PixelWeave's internal processes or errors, no additional charges will apply and we will absorb any extra costs.

4. Payment Terms

4.1 Payment Methods

We accept payment via:

  • Bank transfer (BACS/Faster Payments)
  • Credit/debit card via Stripe

4.2 Payment Schedule

Payment terms will be specified in each Service Agreement. Standard terms typically include:

  • Deposit payment (typically 30-50%) before work commences
  • Milestone payments for larger projects
  • Final payment due before project handover

4.3 Late Payment

Invoices are due within 14 days of issue unless otherwise agreed in writing. Late payments may incur interest at 8% per annum above the Bank of England base rate in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.4 Refunds

Refunds are considered on a case-by-case basis. Generally:

  • Deposits are non-refundable once work has commenced
  • Refunds may be provided if PixelWeave is unable to deliver agreed services
  • Partial refunds may be considered for work not yet completed
  • Any refund requests must be submitted in writing to dev@pixelweave.co.uk

5. Intellectual Property Rights

5.1 Ownership Transfer

Upon full payment of all fees, all intellectual property rights in the completed work (including code, designs, and content created by PixelWeave) will transfer to the client.

5.2 Retention of Rights

Until full payment is received, PixelWeave retains all intellectual property rights in the work product. We reserve the right to:

  • Use the work as part of our portfolio
  • Include screenshots and descriptions in marketing materials
  • Reuse general techniques, concepts, and know-how developed during the project

5.3 Third-Party Components

Work may include third-party components, open-source software, or frameworks subject to their own licenses. We will inform clients of any such components and their licensing terms.

5.4 Client Materials

Clients retain ownership of materials provided to PixelWeave (such as logos, content, images). By providing materials, clients warrant they have the right to use and authorize PixelWeave to use such materials.

6. Warranties and Support

6.1 Warranty Period

PixelWeave warrants that completed work will be free from material defects and will substantially conform to the agreed specifications for a period of 30 days from delivery ("Warranty Period").

6.2 Bug Fixes

During the Warranty Period, PixelWeave will fix bugs or errors in the delivered work at no additional cost, provided:

  • The issue was present at delivery and not caused by client modifications
  • The client reports the issue in writing within the Warranty Period
  • The issue affects core functionality as specified in the Service Agreement

6.3 Maintenance Packages

Clients with active maintenance packages receive extended support including:

  • Ongoing bug fixes at no additional cost
  • Regular updates and security patches
  • Priority support response times
  • Minor content updates as specified in the package terms

6.4 Exclusions

The warranty does not cover:

  • Issues caused by client modifications or third-party interventions
  • Problems arising from hosting environment changes
  • Compatibility with future browser or technology updates
  • Requests for new features or functionality changes

7. Client Responsibilities

7.1 Information and Materials

Clients agree to:

  • Provide accurate and complete information
  • Supply necessary materials, content, and access in a timely manner
  • Respond to queries and requests for feedback within reasonable timeframes
  • Ensure all provided materials comply with applicable laws and do not infringe third-party rights

7.2 Delays

Project timelines assume timely client cooperation. Delays in client responses or material provision may result in project timeline adjustments.

8. Limitation of Liability

8.1 Maximum Liability

PixelWeave's total liability for any claims arising from or related to services provided shall not exceed the total fees paid by the client for the specific project giving rise to the claim.

8.2 Exclusions

To the fullest extent permitted by law, PixelWeave shall not be liable for:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or corruption of data
  • Indirect, consequential, or incidental damages
  • Issues arising from third-party services or hosting

8.3 No Exclusion of Statutory Rights

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under English law

9. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the course of the project. This obligation continues after project completion.

Confidentiality does not apply to:

  • Information already in the public domain
  • Information required to be disclosed by law
  • Information independently developed without use of confidential information

10. Termination

10.1 Termination by Client

Clients may terminate a project by providing written notice. In such cases:

  • Client remains liable for all fees for work completed to date
  • Any deposits paid are non-refundable
  • PixelWeave will provide work completed up to the termination date
  • IP rights only transfer for work that has been fully paid for

10.2 Termination by PixelWeave

PixelWeave may terminate a project if:

  • Client fails to make payment when due
  • Client breaches these Terms
  • Client fails to provide necessary materials or cooperation
  • The working relationship becomes untenable

11. Dispute Resolution

11.1 Negotiation

In the event of any dispute, both parties agree to first attempt to resolve the matter through good faith negotiation.

11.2 Mediation

If negotiation fails, parties agree to attempt mediation before pursuing litigation. Mediation involves a neutral third party helping to reach a mutually acceptable solution. The costs of mediation shall be shared equally unless otherwise agreed.

11.3 Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes arising from these Terms or services provided.

12. Data Protection and Privacy

13. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, or government restrictions.

14. General Provisions

14.1 Entire Agreement

These Terms, together with any Service Agreement, constitute the entire agreement between the parties and supersede all prior agreements or understandings.

14.2 Amendments

PixelWeave reserves the right to update these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of services after changes constitutes acceptance of updated Terms.

14.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

14.4 No Waiver

Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

14.5 Assignment

Clients may not assign or transfer their rights under these Terms without prior written consent from PixelWeave.
